Who is Texas Alliance Title?

Texas Alliance Title operates as an independent title agency providing title services and, as an agent for various subsidiaries of FNF, including Chicago Title, Alamo Title Insurance, Fidelity National Title Insurance Company and Ticor Title Insurance Company, issuing title insurance policies in Texas. The Company will contract with these subsidiaries of FNF to provide information relating to real estate title and closing services and will provide title examination services with its own employees. All of these activities will be governed by the Transaction Agreements with each of these subsidiaries of FNF.

Who can participate?

In order to participate in the Offering, each Offeree must not hold or control any ownership interest in a non-publicly traded title company and must either be (a) a natural person who is (i) a resident of the State of Texas and (ii) a member in good standing of the Diamond Club, Chairman’s Club, Platinum Club, 100% Club, Executive Club or President’s Club recognized by RE/MAX of Texas or a franchisee in good standing of RE/MAX of Texas; or (b) an entity (i) which is a franchisee in good standing of RE/MAX of Texas, (ii) which was organized in Texas and (iii) which has its principal place of business in Texas.

When can an agent participate?

At the time of offering, qualified participants will receive a Private Placement Memorandum that outlines the details of the offering. The next offering is expected to take place in January 2007.

We have retained Weller, Anderson, and Co., Ltd. (the “Placement Agent”) to act as our exclusive placement agent in connection with arranging, on a “best efforts” basis, the private placement of the Units. The placement agent will act as primary contact for any prospective investor who is a recipient of this Memorandum.
